Terms of Service

These Terms of Service (“Terms”) govern your access to and use of RoomReel, including our website, mobile application, software, features, content, subscriptions, exports, and related services (collectively, the “Service”).

RoomReel is provided by Xianzhe Chen (“RoomReel,” “we,” “us,” or “our”). By downloading, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

1. Overview of RoomReel

RoomReel helps real estate professionals create walkthrough videos with floor plan overlays, location indicators, route guidance, room labels, captions, and export tools for listing videos and short-form social media content.

The Service may include tools for scanning property interiors, recording walkthrough videos, generating visual overlays, exporting finished videos, and managing projects.

2. Eligibility

You must be at least 18 years old, or the age of legal majority in your jurisdiction, to use the Service. By using RoomReel, you represent and warrant that you have the legal capacity to enter into these Terms.

If you use the Service on behalf of a company, brokerage, real estate team, or other organization, you represent that you have authority to bind that organization to these Terms.

3. License to Use the Service

Subject to your compliance with these Terms, RoomReel grants you a limited, personal, revocable, non-exclusive, non-transferable license to access and use the Service for your internal business or personal real estate marketing purposes.

If you download the RoomReel mobile application from the Apple App Store, the license granted to you is limited to use of the application on Apple-branded products that you own or control, and as permitted by the Apple Media Services Terms and applicable App Store usage rules.

You may not:

• copy, modify, distribute, sell, lease, sublicense, or transfer the Service;
• reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service, except where prohibited by law;
• use the Service to build a competing product or service;
• use the Service in a way that violates applicable law, third-party rights, platform rules, MLS rules, brokerage policies, or real estate advertising regulations;
• interfere with, disrupt, overload, or compromise the security or integrity of the Service;
• remove copyright, trademark, watermark, or proprietary notices, except where a paid plan expressly permits watermark-free exports.

4. Apple App Store Terms

If you downloaded RoomReel from the Apple App Store, you and RoomReel acknowledge that:

1. These Terms are between you and RoomReel only, not with Apple.
2. RoomReel, not Apple, is solely responsible for the Service and its content.
3. Apple has no obligation to provide maintenance or support services for the Service.
4. To the maximum extent permitted by law, Apple has no warranty obligation with respect to the Service.
5. RoomReel, not Apple, is responsible for addressing claims relating to the Service or your use of the Service, including product liability claims, legal compliance claims, consumer protection claims, and intellectual property claims.
6. You must comply with applicable third-party terms when using the Service.
7. Apple and Apple’s subsidiaries are third-party beneficiaries of these Terms and may enforce these Terms against you as third-party beneficiaries.

5. Accounts

You may need to create an account to access certain features. You agree to provide accurate, complete, and current information and to keep your account credentials secure.

You are responsible for all activity under your account. Notify us promptly if you believe your account has been compromised.

We may suspend or terminate your account if we believe you have violated these Terms, created risk for RoomReel or others, or used the Service unlawfully.

6. Subscriptions, Paid Plans, and Billing

RoomReel may offer free and paid plans. Paid features may include higher export resolution, watermark removal, unlimited projects, premium overlay styles, HDR recording, or other premium capabilities.

Subscription plans, prices, trial terms, renewal periods, and included features will be shown before purchase. By purchasing a subscription, you authorize the applicable payment provider, app store, or billing platform to charge the fees shown at checkout.

If you purchase through the Apple App Store, billing, renewal, cancellation, and refunds are handled by Apple according to Apple’s terms and policies.

Unless otherwise stated, subscriptions automatically renew until canceled. You are responsible for canceling before the renewal date if you do not want to continue your subscription.

We may change plan features or pricing from time to time. If required by law or platform policy, we will provide notice before changes apply to your current subscription.

7. Free Plan and Usage Limits

RoomReel may offer a free plan with limited usage, such as limits on project count, export resolution, watermark removal, storage, rendering, or access to advanced features.

We may modify, suspend, or discontinue free features at any time, subject to applicable law.

8. User Content

“User Content” means content that you upload, scan, record, create, generate, store, export, or otherwise process through the Service, including videos, images, floor plans, room data, property descriptions, addresses, location information, captions, and exported videos.

You retain ownership of your User Content. These Terms do not transfer ownership of your User Content to RoomReel.

You grant RoomReel a limited, worldwide, non-exclusive, royalty-free license to host, store, process, reproduce, modify, render, display, and transmit your User Content solely as necessary to provide, maintain, improve, secure, and support the Service.

You represent and warrant that you have all necessary rights, permissions, and authority to upload, record, scan, process, and export User Content through the Service.

9. Real Estate Content Responsibilities

RoomReel provides creative and technical tools for generating real estate walkthrough videos. You are solely responsible for the accuracy, legality, and compliance of any property information, video, floor plan, claim, caption, listing description, advertising content, or exported media that you create or publish using the Service.

You are responsible for ensuring that your use of the Service complies with:

• real estate advertising laws and regulations;
• MLS, brokerage, association, and platform rules;
• fair housing, anti-discrimination, privacy, consent, and disclosure requirements;
• property owner, tenant, occupant, and third-party rights;
• social media platform terms and content policies.

RoomReel does not verify property facts, listing claims, measurements, room labels, square footage, property condition, legal disclosures, or advertising compliance.

10. Scanning, Recording, and Location-Based Features

Some RoomReel features may require compatible devices, camera access, motion sensors, LiDAR, AR capabilities, location services, microphone access, photo library access, or other device permissions.

You are responsible for obtaining all required permissions before scanning, recording, or capturing any property, person, private space, personal information, or third-party content.

You agree not to use the Service to record or scan spaces where you do not have legal permission to do so.

RoomReel may generate floor plans, overlays, positions, headings, route indicators, room labels, captions, or other visual outputs. These outputs may be approximate and may contain errors. You should review all outputs before publishing or relying on them.

11. AI and Automated Features

RoomReel may use automated or AI-assisted features to generate captions, labels, scripts, overlays, recommendations, edits, or other content.

AI-generated or automated outputs may be inaccurate, incomplete, misleading, or inappropriate. You are responsible for reviewing and approving all outputs before use, publication, or distribution.

RoomReel does not guarantee that AI-generated content will be accurate, compliant, unique, or suitable for your intended purpose.

12. Exports and Publishing

RoomReel may allow you to export videos or other media for use on listing pages, websites, MLS systems, TikTok, Instagram, YouTube Shorts, or other platforms.

You are solely responsible for your use, upload, publication, distribution, and monetization of exported content. Third-party platforms may have their own rules, technical requirements, review processes, and restrictions.

RoomReel is not responsible for third-party platform availability, moderation decisions, takedowns, account restrictions, algorithmic performance, engagement, leads, sales, or business results.

13. Intellectual Property

The Service, including software, design, trademarks, logos, graphics, workflows, templates, overlays, user interface, and underlying technology, is owned by RoomReel or its licensors and is protected by intellectual property laws.

Except for the limited license granted in these Terms, RoomReel reserves all rights in and to the Service.

You may not use RoomReel’s name, logo, branding, or trademarks without our prior written permission, except as allowed by brand guidelines or product functionality.

14. Feedback

If you provide ideas, suggestions, feature requests, bug reports, or other feedback, you grant RoomReel a worldwide, perpetual, irrevocable, royalty-free license to use that feedback without restriction or compensation to you.

15. Third-Party Services

The Service may integrate with, link to, or rely on third-party services, platforms, SDKs, APIs, hosting providers, app stores, payment processors, analytics tools, mapping services, social platforms, or other services.

Your use of third-party services is subject to their own terms and policies. RoomReel is not responsible for third-party services, content, data practices, availability, errors, or decisions.

16. Privacy

Our collection, use, and disclosure of personal information are described in our Privacy Policy. By using the Service, you agree that we may process personal information as described in the Privacy Policy.

If you use RoomReel in connection with clients, property owners, tenants, occupants, buyers, or other third parties, you are responsible for providing any required notices and obtaining any required consents.

17. Maintenance and Support

RoomReel is responsible for providing maintenance and support for the Service as described in these Terms or as required by applicable law.

Apple has no obligation to provide maintenance or support services for the RoomReel iOS application.

We may update, modify, suspend, or discontinue parts of the Service at any time. We may also release updates that replace, modify, or remove features.

18. Disclaimers

To the maximum extent permitted by law, the Service is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory.

RoomReel disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, reliability, and quiet enjoyment.

RoomReel does not warrant that:

• the Service will be uninterrupted, secure, or error-free;
• scanning, tracking, location, compass, floor plan, room detection, or overlay features will be accurate;
• exported videos will meet all platform, MLS, brokerage, or legal requirements;
• AI-generated or automated outputs will be accurate or compliant;
• use of the Service will result in views, leads, clients, sales, commissions, or business outcomes.

Some jurisdictions do not allow certain warranty disclaimers, so some of the above disclaimers may not apply to you.

19. Apple Warranty Notice

If the RoomReel iOS application fails to conform to any applicable warranty, you may notify Apple, and Apple may refund the purchase price, if any, for the application according to Apple’s policies. To the maximum extent permitted by law, Apple has no other warranty obligation with respect to the Service.

Any other claims, losses, liabilities, damages, costs, or expenses relating to a failure to conform to any warranty are RoomReel’s responsibility, to the extent required by applicable law.

20. Limitation of Liability

To the maximum extent permitted by law, RoomReel and its officers, directors, employees, contractors, affiliates, agents, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost business, lost data, lost goodwill, property claims, listing delays, failed transactions, or loss of commissions.

To the maximum extent permitted by law, RoomReel’s total liability for any claim arising out of or relating to the Service or these Terms will not exceed the greater of:

1. the amount you paid to RoomReel for the Service during the three months before the claim arose; or
2. USD $100.

Nothing in these Terms limits liability that cannot be limited under applicable law.

21. Indemnification

You agree to defend, indemnify, and hold harmless RoomReel and its officers, directors, employees, contractors, affiliates, agents, licensors, and service providers from and against any claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to:

• your use or misuse of the Service;
• your User Content;
• your exported or published videos;
• your violation of these Terms;
• your violation of applicable law, platform rules, MLS rules, brokerage policies, or third-party rights;
• your scanning, recording, publishing, advertising, or marketing of real estate content;
• your failure to obtain required permissions, consents, licenses, or disclosures.

22. Product Claims and Intellectual Property Claims

RoomReel, not Apple, is responsible for addressing claims relating to the Service or your possession and use of the Service, including product liability claims, legal or regulatory compliance claims, consumer protection claims, and intellectual property infringement claims.

If a third party claims that the Service or your use of the Service infringes its intellectual property rights, RoomReel, not Apple, will be responsible for investigation, defense, settlement, and discharge of that claim, to the extent required by applicable law.

23. Legal Compliance and Export Controls

You represent and warrant that:

1. you are not located in a country or region subject to a U.S. Government embargo or designated by the U.S. Government as a terrorist-supporting country; and
2. you are not listed on any U.S. Government list of prohibited or restricted parties.

You agree to comply with all applicable export control, sanctions, and trade laws.

24. Termination

You may stop using the Service at any time.

We may suspend or terminate your access to the Service if we reasonably believe that:

• you violated these Terms;
• your use creates risk or potential legal exposure for RoomReel, users, third parties, or platforms;
• you used the Service unlawfully or abusively;
• continuing to provide the Service is no longer commercially, legally, or technically feasible.

Upon termination, your license to use the Service ends. Sections that by their nature should survive termination will survive, including intellectual property, payment obligations, disclaimers, limitation of liability, indemnification, dispute resolution, and general terms.

25. Changes to These Terms

We may update these Terms from time to time. If changes are material, we will provide notice as required by law, such as by posting the updated Terms, updating the “Last updated” date, sending an email, or providing in-product notice.

Your continued use of the Service after updated Terms become effective means you accept the updated Terms.

26. Governing Law and Disputes

To the extent permitted by applicable law, these Terms will be governed by the laws of the jurisdiction where the operator of RoomReel is legally established or primarily resides, without regard to conflict of law principles.

27. Dispute Resolution

Before filing a claim, you agree to first contact us at [email protected] and attempt to resolve the dispute informally.

28. General Terms

These Terms, together with any policies or additional terms referenced in them, constitute the entire agreement between you and RoomReel regarding the Service.

If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect.

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, corporate reorganization, sale of assets, or by operation of law.

Our failure to enforce any provision is not a waiver of our rights.
